Purpose

By acquiring “Node License” (as defined below) NFTs, you agree that you are doing so to participate in Galactica and to utilize services within its ecosystem. The Company, the Distributor, and their affiliates may develop and contribute to the source code underlying Galactica. The Company acts solely as an independent third party regarding the distribution of Node License NFTs, and not as a financial advisor or fiduciary in any capacity.

A “Node License” is a software license which represents a NFT which gives the owner the right to to perform a specific set (to be defined) of activities within the Galactica ecosystem which are rewarded with GNET.

Eligibility

To use the Website or participate in the Node License NFT distribution, you must be at least 18 years old. The Website and its services are strictly unavailable to individuals or entities from any Restricted Territory, including but not limited to the United States, China, North Korea, Pakistan, Tunisia, Uganda, Libya, Tajikistan, Uzbekistan, Yemen, Sri Lanka, Venezuela. Accessing the Website through a VPN or other means by Restricted Persons is prohibited.

Validity of Token Documentation and Website

The Token Documentation and Website do not constitute an offer by the Company, the Distributor, or the Galactica team to sell any Node License NFT, nor should they be relied upon for any contractual or investment decision. No information in the Token Documentation or the Website should be considered a promise or representation of Galactica’s future performance. Any distribution or transfer of Node License NFTs is governed solely by the terms and conditions of the specific agreement related to that distribution.

Representations and Warranties

By accessing the Token Documentation or Website, you represent and warrant to the Company, the Distributor, their affiliates, and the Galactica team that:

  • You have not relied on any statements in the Token Documentation or Website in deciding to acquire any Node License NFT.

  • You are responsible for complying with all applicable laws, regulatory requirements, and restrictions.

  • You acknowledge that Node License NFTs may have no value, there is no guarantee of value or liquidity, and they are not intended as an investment product.

  • None of the Company, the Distributor, their affiliates, or the Galactica team is responsible or liable for the value, transferability, or liquidity of Node License NFTs, or for the availability of any market for them through third parties.

Limitations of Liability

The Company, the Distributor, and the Galactica team make no warranties or representations regarding the Token Documentation, the Website, or any related materials. To the fullest extent permitted by law, the Company, the Distributor, their affiliates, and service providers disclaim all liability for any indirect, special, incidental, consequential, or other losses arising from the use of the Token Documentation, Website, or related content.

Nature of Node License NFTs

Node License NFTs are intended for use within the Galactica ecosystem and:

  • Have no tangible or intrinsic value.

  • Are non-refundable, not redeemable for cash or other assets, and do not represent a financial instrument.

  • Do not grant any rights, except for explicitly mentioned herein, to the Company, the Distributor, or their affiliates, including voting, ownership, dividends, or participation in governance.

  • Are not loans or securities and carry no expectation of profit.

Secondary Market Disclaimer

If a secondary market or exchange for trading Node License NFTs develops, it will operate independently of the Company, the Distributor, and Galactica. Neither the Company nor the Distributor will create or act as an exchange for Node License NFTs.

Language

The English version of the Token Documentation and the Website prevails over any translated versions in case of discrepancies.

No Redistribution

The Token Documentation and Website materials may not be copied, reproduced, distributed, or disseminated without prior written consent from the Company or the Distributor. By accessing these materials, you agree to these restrictions.

Wallets & Token Management:

All tokens donations from the Node Distribution process are stored in multi-signature wallets and the various tokens may be transferred to other wallets and converted at certain points in time to other tokens (e.g. stablecoins).
